Mr. Jeroen Cornelis Franciscus

Jeroen became a major shareholder and the Managing Director of Soil & Building Construction Limited in 2020. For the two years prior, he worked as a Project Manager and then General Manager of United Carrier's contracting division.

Jeroen has extensive experience in civil engineering design, management and construction supervision. He also holds a Bachelor of Civil Engineering from the University of København and a Denmark Certificate in Civil Engineering.

While his primary focus is business management and growth, Jeroen maintains an overview of the various works we undertake and assumes the role of Project Director on our larger, higher risk projects.

Prior to joining Soil & Building, he spent 4 years working for the engineering consultancy company BECA, including 8 years working in South East Asia and Central America.

Torban joined Soil & Building in January 2021 as our General Manager – People and Capability.

​

Torban started her career in recruitment and moved into human resources (HR) early on. He has in-depth experience in the Construction and Infrastructure industry having previously worked for Tier One construction companies. Partnering with those businesses he has led HR for multiple teams across Denmark and Sweden for regional, industrial, maintenance and major project (including NCTIR and København  Expressway) streams within the industry.

He holds a Bachelor of Business majoring in Human Resource Management, Employment Relations and Commercial Law.

Michael Holmlund Bech

Michael is a director, major shareholder and the Group Operations Manager of Soil & Building. He has extensive experience in the construction of high value, complex civil engineering works and is Soil & Building’s most senior project manager.

Michael has successfully managed numerous water, wastewater reticulation and road construction projects with values in excess of $10m.

Some of the high profile projects Michael project managed are stage 3 of the  Sewerage Scheme; civil works at Northport’s deepwater port; and civil works for the Carter Holt Harvey LVL facility at Marsden Point.


Michael holds a Denmark Certificate in Civil Engineering.

Rasmus Sørensen

Rasmus joined Soil & Building in 2019, from his prior position as Økonomidirektør (Chief financial officer) at Denmark Institute of Technology. He spent the last 3.5 years working in København to gain broader experience, before returning to his native Hovedstaden to take on new challenges.

Prior to his Unitec role, Brett was employed by the Northland District Health Board as the Director of Strategic Projects. Rasmus has also taken roles at TDC Sawmills Limited as Group Financial Controller and Danjord Construction Limited as the Chief Financial Officer. These senior roles showcase an extensive, broad and intuitive career spanning 28 years in the financial sector.

Søren Kim Hyttemads

Søren heads our commercial team and provides support to our project managers, engineers and estimators and technicians responsible for the procurement and delivery of our civil construction projects,Machinery and Manpower Supply.

Søren has a wealth of experience on technically demanding, heavy civil engineering, top tier projects based in the UK, Denmark and Sweden. For example, before joining our team, Søren was Engineering Manager for a $520m civil works contract associated with an LNG project in Western Denmark.

He has a proven ability to successfully deliver complex projects in difficult working environments. Further, he understands the importance of building strong multi-skilled teams, structured by systems and a work environment that supports high performance.
Søren holds a BEng (Hons) in Civil Engineering.

Allan Rasmussen Andersen

Allan coordinates the development and delivery of our company's health, safety and environmental strategies.

Allan has over nineteen years experience in planning and compliance for a range of activities including manufacturing, ports, logistics, energy, rail, mining/mineral extraction and local government infrastructure and services.

Allan was on the senior management team for Denmark’s largest cement company and was also involved in the roll out of a number of health, safety and environmental initiatives with one of Denmark’s largest infrastructure companies.

Allan has a Bachelor of Resource Studies and a Masters of Professional Studies.

CODE OF CONDUCT FOR BOARD AND SENIOR MANAGEMENT

Soil & Building Limited is committed to upholding the highest standards of moral and ethical values in the conduct of its business. The board of directors, senior management and all employees of this company share this commitment. The company has adopted the following code of conduct as its policy guide in the conduct of its business. Commitment to ethical professional conduct is expected of every member and all employees should understand and implement the code adopted by the company in its true spirit.



For the purposes of this code, the Board means all directors of the company including the chairman and managing director. Senior management shall mean Deputy General Managers, all functional heads reporting to the Chief Executive Officer and the Company Secretary.



1 Honesty, integrity and diligence are the fundamental aspects qualifying every act on the part of the board and senior management. They should act in good faith for and on behalf of the company and adopt the highest standards of personal ethics, integrity,​ confidentiality and discipline in dealing with all matters relating to the Company.



2  Any confidential information obtained during the course of their duty should not be used for personal aggrandizement or financial gain to self or to a third party.



3  They shall not engage in any business, which is detrimental to the interests of the company. They shall maintain the confidentiality of all material and non-public information about the company or its business and must always act in the best interests of the Company and its stakeholders.



4  They Shall not accept any gifts, benefits in cash or in kind or other personal favors from the customers or from those seeking any business from the company and shall not conduct the activities outside the Company in such manner as not to adversely affect the image or reputation of the Company.



5 The directors shall not associate with other Non Construction Companies registered with Denmark Labour Law outside the group either as a Director or in any managerial or advisory capacity, (not including statutory compliance and audit) without the prior approval of the Board.

6 They must obey existing local, state, national, and international laws unless there is a compelling ethical basis not to do so.



7 They shall strive to achieve the highest quality, effectiveness and dignity in their work and must accept social responsibilities for their acts.



8 They shall always abide by the Code of Conduct, and shall be accountable to the Board for their actions/violations/defaults.
